  3.                    CONTRACT TO EMPLOY AUCTIONEER 
  4. __________, referred to as SELLER, and __________, referred
  5. to as AUCTIONEER,  agree: 
  6.  
  7.  
  8. SELLER employs AUCTIONEER to sell, at public auction, the 
  9. property described in the attached exhibit "A."  
  10.  
  11.                   Place, Date, and Time of Sale 
  12.  
  13. The auction shall be held at _______________, on ______________. 
  14.  
  15.                   Duties and Obligations of AUCTIONEER 
  16.  
  17. AUCTIONEER shall carry out the following duties: 
  18.  
  19.   (a) AUCTIONEER shall have a catalog of sellers property and 
  20. shall distribute the catalog no fewer than 14 days before the 
  21. auction and the catalog shall be in a manner which will interest 
  22. all persons who might reasonably be interested in such sale and 
  23. in the sales thereof.

  26.   (b) The auctioneer shall cause the auction be advertised in the 
  27. _________________ Newspaper no fewer than 3 times and at least 15
  28. days before  the sale. 
  29.  
  30.  
  31.   (c) SELLER shall deliver to the auctioneer the items for sale 
  32. no later than 7 days before the sale, and seller shall bear all 
  33. risk of loss of or damage to the property not caused by the 
  34. auctioneer's fault or negligence or as the case may be. 
  35.  
  36.  
  37.   (d) AUCTIONEER shall employ help reasonably necessary to carry 
  38. out the sale and delivery of seller's property to buyers of such 
  39. property at the auction sale. 
  40.  
  41.  
  42.   (e) AUCTIONEER shall represent and conduct the action sale as 
  43. an auction with reserve.  
  44.  
  45.  
  46.   (f) AUCTIONEER shall conduct the auction to the best of his or 
  47. her ability. However the auctioneer does not guarantee a sale and 
  48. auctioneer is not responsible  in the event seller and or any 
  49. buyer at the auction sale fails to pay as agreed concerning any 
  50. property to be auctioned, or in the event of nondelivery of 
  51. property by seller to any such buyer.

  54.   (g) AUCTIONEER shall collect from each buyer at the auction 
  55. sale 10% percent of the purchase price immediately after the sale 
  56.                            
  57. is consummated, and shall have each buyer sign a memorandum of 
  58. sale. 
  59.  
  60.  
  61.   (h) AUCTIONEER shall purchase all risk  for seller's property 
  62. after delivery by seller to the place of sale. SELLER shall 
  63. notify the auctioneer, in writing, of the property to be insured, 
  64. and for negotiating any settlement, payment, cancellation, or 
  65. reformation with the insurer.

  68.   (i) At the completion of the sale the auctioneer will provide 
  69. the seller a list of seller's property sold  and unsold, along 
  70. with the sale price.  SELLER shall have 7 days after receiving 
  71. notice of the unsold property. If seller, does not pick up the 
  72. unsold property with 5 days the AUCTIONEER shall store the 
  73. property at the seller's expense.

  76.                    Authority of AUCTIONEER 
  77.  
  78. AUCTIONEER may sign any memorandum of sale and receive any 
  79. deposit from any buyer on behalf of the seller in connection with 
  80. the sale. 
  81.  
  82. AUCTIONEER is prohibited from giving any warranty as to quality 
  83. or description of seller's property.

  85.  
  86.                     Purpose 
  87.  
  88. AUCTIONEER accepts the terms of this agreement and will perform 
  89. the auction sale to the best of his or her ability. 
  90.  
  91.  
  92.                    Authority of SELLER 
  93.  
  94.   (a) SELLER may withdraw any property before the time of sale. 
  95. Property withdrawn will be subject to unsold commission. 
  96.  
  97.  
  98.   (b) SELLER may warranty his property as quality or description 
  99. as may the seller deem appropriate. 
  100.  
  101.  
  102.   (c) Payment for property can only made with cash, cashier's or 
  103. certified check, credit card or by letter of credit from a bank 
  104. which is reasonably acceptable to SELLER. 
  105.  
  106.  
  107.   (e) SELLER may reject or confirm bids, except that seller's 
  108. property shall be sold to the highest bidder, subject to the 
  109. terms of this agreement. 
  110.  
  111.  
  112.   (f) SELLER may require auctioneer to resubmit seller's property 
  113. to competitive bidding if a dispute arises to any bid. 
  114.  
  115.  
  116.                      Cooperation of SELLER 
  117. SELLER shall cooperate with the interests of auctioneer in 
  118. discharging seller's duties under this agreement, and shall 
  119. refrain from all acts that would interfere with auctioneer in 
  120. performing the auctioneer's duties.

  122.  
  123.                      Compensation of AUCTIONEER 
  124.  
  125. AUCTIONEER shall receive ___ on property sold and ___ percent  on
  126. unsold property. The seller shall pay the auctioneer within 3 
  127. days after the sale with cash or certified check.

  130.                       Expenses

  132. SELLER shall be liable for the following expenses:

  135.   (a) Catalogs

  137.   (b) Advertising 
  138.  
  139.   (c) Delivery of Property to AUCTIONEER

  141.   (d) Insurance for seller's property

  144.                        Entire Agreement 
  145.  
  146.  
  147. This constitutes the entire agreement between the parties and any 
  148. prior understanding or agreement before the signing of this 
  149. document shall not be binding on either party except what is 
  150. incorporated in this agreement.

  153.                        Modification of Agreement 
  154. Any modification of this agreement shall be in writing and signed 
  155. by both parties.

  159.                        Assignment of Rights 
  160. The rights of under this agreement are personal to that party and 
  161. may not be transferred to any other person, firm, corporation, or 
  162. other entity without the prior express, and written consent of 
  163. the other party.
